The Sociedad Anónima (S.A.) is the dominant corporate vehicle, governed by the Commercial Code (Decree 2-70, 1970), which also provides for the limited liability company and the branch of a foreign company. According to a secondary guide, the current minimum paid-in capital is Q200 (article 90, as amended by Decree 18-2017); the figure of Q5,000 belongs to the previous regime. Sources differ on when that reform took effect: the U.S. State Department's Investment Climate Statement 2024 states that the Commercial Code amendments entered into force in January 2018, whereas the secondary guide says 'in force since October 2017'. The number of the amending decree, the article and the entry-into-force date are all flagged for confirmation against the official text.
